HomecomingOS Terms of Use and End User License Agreement

1. About HomecomingOS

HomecomingOS is a mobile application designed to help members of the HBCU community discover, organize, share, and experience homecoming events and activities.

Features may include homecoming schedules, events, community information, weather information, maps and directions, saved events, personal schedules, check-ins, reviews, comments, discussions, homecoming tips or "hacks," deals, trade listings, direct and group messaging, notifications, and links to third-party services.

Features may change, be added, removed, suspended, or modified as HomecomingOS evolves.

2. Eligibility

You must be at least 13 years old to use HomecomingOS. If you are under the age of majority where you live, you may use HomecomingOS only with the involvement and permission of a parent or legal guardian where required by applicable law.

By using HomecomingOS, you represent that you are legally permitted to enter into these Terms and that your use of the Service does not violate applicable law.

3. User Accounts

Certain HomecomingOS features require you to create an account. You agree to provide accurate information and to keep information associated with your account reasonably current.

You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account.

You may not impersonate another person or organization, misrepresent your identity or affiliation, create an account for fraudulent or abusive purposes, or allow another person to use your account in a manner that violates these Terms.

Please notify us promptly if you believe your account has been compromised or used without authorization.

4. License to Use HomecomingOS

Subject to your compliance with these Terms and any applicable app-store terms, Serenitech Solutions grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use HomecomingOS on devices that you own or control for your personal, non-commercial use.

HomecomingOS is licensed to you, not sold. Except for the limited license expressly granted by these Terms, Serenitech Solutions retains all rights, title, and interest in and to HomecomingOS and its proprietary technology.

5. App Purchase and Payment Processing

HomecomingOS is offered for a one-time purchase through authorized application marketplaces such as the Apple App Store and Google Play. The applicable purchase price is displayed by the app store before you complete your purchase.

Your purchase of HomecomingOS is processed entirely by the applicable app store. Serenitech Solutions does not directly collect, process, or store your full payment-card or bank-account information in connection with the purchase of the application.

Billing, payment processing, taxes, refunds, and similar matters relating to the purchase of HomecomingOS are subject to the terms and policies of the app store through which you obtained the application.

HomecomingOS does not currently offer in-app purchases, paid subscriptions, or advertising.

6. Support for HBCUs

As part of the HomecomingOS mission, Serenitech Solutions may designate a portion of qualifying HomecomingOS app revenue to support the athletics foundation or comparable designated organization associated with participating HBCUs, as described in HomecomingOS materials.

Any such contribution is made by Serenitech Solutions. Your purchase of HomecomingOS does not constitute a direct charitable donation by you, and we make no representation that any portion of your purchase is tax-deductible to you.

Unless expressly stated otherwise, Serenitech Solutions does not provide your individual purchaser information to an HBCU, athletics foundation, or affiliated organization solely because HomecomingOS contributes a portion of qualifying revenue to that institution.

7. Acceptable Use

You agree to use HomecomingOS responsibly and in compliance with applicable law, these Terms, and any Community Guidelines we publish.

You may not use HomecomingOS to:

• Harass, threaten, intimidate, stalk, exploit, or harm another person.
• Post or transmit unlawful, fraudulent, defamatory, threatening, hateful, obscene, or abusive content.
• Impersonate another person, organization, HBCU, event organizer, or other entity.
• Promote scams, fraudulent tickets, counterfeit goods, deceptive listings, or other fraudulent activity.
• Send spam or unsolicited commercial communications.
• Collect, scrape, harvest, or misuse information about other users.
• Attempt to gain unauthorized access to another user's account, HomecomingOS systems, databases, or infrastructure.
• Introduce malware, malicious code, or other technology intended to interfere with or damage the Service.
• Circumvent security, access controls, rate limits, moderation systems, or other technical protections.
• Use HomecomingOS in any manner that violates applicable law or the rights of another person or organization.

8. User-Generated Content

HomecomingOS may allow you to submit or share events, reviews, ratings, comments, homecoming tips or "hacks," deals, trade listings, check-ins, discussions, messages, photos, flyers, and other content ("User Content").

You retain ownership of User Content that you own. By submitting User Content to HomecomingOS, you grant Serenitech Solutions a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, distribute, format, and otherwise use that content as reasonably necessary to operate, provide, secure, maintain, and improve HomecomingOS.

You represent that you have the rights necessary to submit the User Content and that our permitted use of the content will not violate the rights of another person or organization.

You are responsible for the User Content you submit.

9. Community Content and Moderation

Serenitech Solutions does not necessarily review or approve User Content before it appears in HomecomingOS and does not endorse opinions, recommendations, listings, representations, or other content submitted by users.

We reserve the right, but are not obligated except as required by law, to review, restrict, remove, disable, or preserve User Content that we reasonably believe violates these Terms, our Community Guidelines, applicable law, the rights of others, or the safety and integrity of HomecomingOS.

We may restrict, suspend, or terminate accounts associated with abuse, fraud, repeated violations, unlawful conduct, or conduct that creates risk for HomecomingOS or its users.

10. Messaging and Communications Between Users

HomecomingOS may provide direct messages, group messages, discussions, and other communication features.

You are responsible for your interactions and communications with other users. Exercise appropriate judgment when communicating with people you do not know personally and when deciding whether to share personal or sensitive information.

Messages should not be considered confidential merely because they are transmitted through a direct or group messaging feature. Recipients may copy, save, screenshot, forward, or otherwise redistribute information you send them.

Serenitech Solutions may access, preserve, restrict, or disclose communications when reasonably necessary to operate or secure the Service, investigate reported misconduct, enforce these Terms or our Community Guidelines, protect users, or comply with applicable law.

11. Check-Ins and Location-Related Features

HomecomingOS may allow users to check in at events or locations and may provide other location-related features.

You are responsible for deciding whether and when to share location-related information. Consider your personal safety and privacy before publicly sharing your current location, plans, or activities.

HomecomingOS is not an emergency service, personal-safety service, or real-time location-monitoring service and should not be relied upon for emergency assistance.

If you are experiencing an emergency or believe you or another person is in immediate danger, contact the appropriate local emergency services rather than relying on HomecomingOS.

12. Events and Homecoming Information

HomecomingOS provides information about homecoming events, schedules, venues, activities, tickets, transportation, weather, lodging, and related matters for convenience and informational purposes.

Event information may originate from HBCUs, event organizers, users, publicly available sources, third-party services, or other sources.

Events, schedules, prices, locations, admission requirements, policies, availability, and other details may change without notice. Although we strive to provide useful and accurate information, Serenitech Solutions does not guarantee that all event information is complete, current, or error-free.

You should confirm important event information with the applicable HBCU, venue, organizer, ticket provider, or other official source before making purchases, reservations, or travel plans.

13. Third-Party Tickets, Hotels, Maps, Weather, and Other Services

HomecomingOS may provide information from or links to third-party websites, applications, and services, including ticketing providers, hotels and lodging services, mapping applications, weather services, event websites, restaurants, transportation services, and other external resources.

HomecomingOS does not sell or process purchases of event tickets, lodging, transportation, food, merchandise, or other third-party goods or services. When you follow a link from HomecomingOS and choose to purchase a product or service, the transaction occurs directly between you and the applicable third party outside of HomecomingOS.

Serenitech Solutions is not a party to those transactions and does not receive or process your payment for those transactions unless we expressly inform you otherwise in connection with a future feature.

Third-party services are operated independently of Serenitech Solutions. We do not control and are not responsible for their availability, pricing, accuracy, content, security, products, services, privacy practices, refund policies, or performance.

Any purchase, reservation, cancellation, refund, payment dispute, or other transaction with a third party is governed by your agreement with that third party.

14. Deals, Trades, and User Listings

HomecomingOS may allow users to post or discover deals, trade listings, ticket-related information, merchandise, or other offers.

HomecomingOS does not process payments or complete transactions between users. Any transaction, exchange, payment, delivery, or other arrangement between users takes place independently of HomecomingOS.

Serenitech Solutions is not the seller, buyer, broker, payment processor, guarantor, escrow provider, or party to a transaction or arrangement between users.

We do not guarantee the identity of a user, authenticity of an item, validity of a ticket, accuracy of a listing, payment by another user, delivery of an item, or successful completion of a transaction.

Users are responsible for exercising appropriate judgment and caution when interacting or transacting with others.

15. Personal Safety and Attendance at Events

HomecomingOS provides information and tools intended to assist users in discovering, organizing, and participating in homecoming-related activities.

Unless expressly stated otherwise, Serenitech Solutions does not organize, operate, supervise, control, inspect, endorse, or provide security for third-party events, venues, transportation, accommodations, parties, gatherings, or other activities merely because they are listed, discussed, reviewed, or accessible through HomecomingOS.

You are responsible for exercising your own judgment regarding events, locations, travel, transportation, personal safety, interactions with other users, and activities discovered through HomecomingOS.

An event listing, check-in, community post, review, rating, or other information appearing in HomecomingOS should not be interpreted as a guarantee by Serenitech Solutions regarding the safety, legitimacy, quality, accuracy, availability, or suitability of an event, location, person, product, or service.

16. HBCU Names, Trademarks, and Affiliation

HomecomingOS is an independent product of Serenitech Solutions.

References to historically Black colleges and universities, athletic programs, events, venues, organizations, or other institutions are used to identify and provide information about relevant homecoming experiences.

Unless expressly stated otherwise, HomecomingOS and Serenitech Solutions are not affiliated with, endorsed by, sponsored by, or officially associated with any HBCU, athletic conference, athletics foundation, event organizer, ticketing provider, or other organization referenced in the Service.

Names, trademarks, logos, and other intellectual property belonging to third parties remain the property of their respective owners.

17. HomecomingOS Intellectual Property

HomecomingOS, including its software, design, branding, graphics, interfaces, databases, organization, original content, and other proprietary materials, is owned by or licensed to Serenitech Solutions and is protected by applicable intellectual property laws.

Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, attempt to extract source code from, or create derivative works from HomecomingOS except to the extent such restriction is prohibited by applicable law.

18. Copyright and Intellectual Property Complaints

Serenitech Solutions respects the intellectual property rights of others. If you believe content available through HomecomingOS infringes your copyright, trademark, or other intellectual property rights, you may contact us using the information provided at the end of these Terms.

Please provide sufficient information for us to identify the material in question, understand the basis of your claim, and contact you regarding the matter.

We may remove or restrict allegedly infringing content and may take appropriate action against accounts associated with repeated infringement when warranted.

19. Feedback

If you voluntarily provide ideas, suggestions, recommendations, or feedback regarding HomecomingOS, you agree that Serenitech Solutions may use that feedback without restriction or obligation to compensate you, provided that doing so does not grant us ownership of your unrelated intellectual property.

20. Privacy

Our collection, use, storage, and sharing of personal information is described in the HomecomingOS Privacy Policy.

By using HomecomingOS, you acknowledge that you have had an opportunity to review the Privacy Policy.

21. Account Suspension and Termination

You may stop using HomecomingOS at any time and may request deletion of your account using the functionality provided by the Service.

Serenitech Solutions may restrict, suspend, or terminate access to HomecomingOS when reasonably necessary because of a violation of these Terms or Community Guidelines, suspected fraud or unlawful activity, abuse of other users, security concerns, legal requirements, or conduct that threatens the integrity of the Service.

We may also remove or restrict User Content associated with a terminated or suspended account when reasonably necessary to enforce these Terms or protect the Service or other users.

Certain provisions of these Terms that by their nature should survive termination will remain effective, including provisions concerning intellectual property, User Content licenses where necessary, disclaimers, limitations of liability, indemnification, and dispute-related obligations.

22. Availability and Changes to the Service

We work to keep HomecomingOS available and reliable, but we do not guarantee uninterrupted or error-free operation.

HomecomingOS may occasionally be unavailable because of maintenance, updates, technical problems, third-party outages, network conditions, security issues, or circumstances beyond our control.

We may modify, update, discontinue, replace, or limit features when reasonably necessary to operate, maintain, secure, and improve the Service.

23. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HOMECOMINGOS AND THE SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SERENITECH SOLUTIONS DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL ALWAYS BE AVAILABLE, SECURE, ERROR-FREE, OR ACCURATE, OR THAT INFORMATION PROVIDED BY USERS, EVENT ORGANIZERS, HBCUS, THIRD PARTIES, OR EXTERNAL SERVICES WILL BE COMPLETE, CURRENT, ACCURATE, SAFE, OR RELIABLE.

WE DO NOT WARRANT OR GUARANTEE ANY EVENT, THIRD-PARTY PRODUCT OR SERVICE, USER, LISTING, TRANSACTION, VENUE, ACCOMMODATION, TICKET, TRANSPORTATION OPTION, OR OTHER MATTER REFERENCED THROUGH THE SERVICE.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THESE DISCLAIMERS MAY NOT APPLY TO YOU.

24. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SERENITECH SOLUTIONS AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO YOUR ACCESS TO, USE OF, OR INABILITY TO USE HOMECOMINGOS.

THIS INCLUDES, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLAIMS OR LOSSES ARISING FROM OR RELATING TO USER-GENERATED CONTENT, USER-TO-USER INTERACTIONS, THIRD-PARTY EVENTS, EVENT CANCELLATIONS OR CHANGES, THIRD-PARTY SERVICES, TICKETS, LODGING, TRANSPORTATION, TRAVEL ARRANGEMENTS, USER LISTINGS OR TRADES, CHECK-INS, LOCATION-RELATED INFORMATION, LOSS OF DATA, SERVICE INTERRUPTIONS, OR UNAUTHORIZED ACCOUNT ACCESS.

SERENITECH SOLUTIONS IS NOT RESPONSIBLE FOR REIMBURSING USERS FOR TICKETS, HOTEL RESERVATIONS, TRANSPORTATION, TRAVEL EXPENSES, MERCHANDISE, FOOD, USER-TO-USER TRANSACTIONS, OR OTHER THIRD-PARTY PURCHASES OR EXPENSES MERELY BECAUSE INFORMATION ABOUT THE RELEVANT EVENT, PRODUCT, SERVICE, PROVIDER, OR USER APPEARED IN OR WAS ACCESSED THROUGH HOMECOMINGOS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SERENITECH SOLUTIONS' TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO HOMECOMINGOS OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO OBTAIN HOMECOMINGOS DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) TEN U.S. DOLLARS (US $10.00).

THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF SERENITECH SOLUTIONS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED. SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS OR LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

25. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Serenitech Solutions and its owners, officers, employees, contractors, and agents from claims, liabilities, damages, losses, and reasonable expenses arising from your violation of these Terms, your User Content, your misuse of HomecomingOS, your unlawful conduct, or your violation of another person's rights.

26. Apple App Store Terms

If you obtain HomecomingOS through the Apple App Store, you acknowledge that these Terms are between you and Serenitech Solutions, not Apple, and that Serenitech Solutions, not Apple, is responsible for HomecomingOS and its content, subject to applicable law.

Apple has no obligation to provide maintenance or support services for HomecomingOS except as required by applicable law or Apple's applicable policies.

In the event of any failure of HomecomingOS to conform to an applicable warranty that cannot legally be disclaimed, you may notify Apple, and Apple may refund the purchase price for the application, if any, as provided under Apple's applicable terms. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation with respect to HomecomingOS.

Serenitech Solutions, not Apple, is responsible for addressing claims relating to HomecomingOS or your possession and use of HomecomingOS, including product liability claims, claims that the application fails to conform to applicable legal or regulatory requirements, and claims arising under consumer protection or similar laws, to the extent required by applicable law.

If a third party claims that HomecomingOS or your possession and use of HomecomingOS infringes that third party's intellectual property rights, Serenitech Solutions, not Apple, will be responsible for the investigation, defense, settlement, and discharge of such claim to the extent required by these Terms and applicable law.

You represent and warrant that you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.

Your use of HomecomingOS must comply with applicable third-party terms, including applicable App Store terms and usage rules.

Apple and its subsidiaries are third-party beneficiaries of these Terms as they relate to your license to use the iOS version of HomecomingOS. Upon your acceptance of these Terms, Apple will have the right to enforce the applicable provisions against you as a third-party beneficiary.

27. Google Play Terms

If you obtain HomecomingOS through Google Play, your download, purchase, and use of the application are also subject to applicable Google Play terms and policies.

These Terms are between you and Serenitech Solutions. Google is not responsible for providing support for HomecomingOS except as required under Google's applicable terms or policies.

28. Governing Law and Venue

These Terms will be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict-of-law principles, except where applicable law requires otherwise.

To the extent permitted by applicable law, any legal action or proceeding arising out of or relating to these Terms or HomecomingOS that is not subject to another legally required dispute process shall be brought in a court of competent jurisdiction located in Anne Arundel County, Maryland, or in a federal court serving that jurisdiction.

You and Serenitech Solutions consent to the personal jurisdiction of those courts for such matters, except where applicable law provides otherwise.

29. Changes to These Terms

We may update these Terms periodically to reflect changes to HomecomingOS, our business, applicable law, or our policies.

When we make changes, we will update the "Last Updated" date at the top of these Terms. If a change materially affects your rights or obligations, we will provide additional notice when appropriate or required by law.

Your continued use of HomecomingOS after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.

30. General Terms

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

Our failure to enforce a provision of these Terms does not waive our right to enforce it later.

You may not assign or transfer your rights under these Terms without our prior written consent. Serenitech Solutions may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or similar business transaction.

Headings are provided for convenience and do not affect the interpretation of these Terms.

These Terms, together with the HomecomingOS Privacy Policy and any applicable Community Guidelines or additional terms presented for specific features, constitute the agreement between you and Serenitech Solutions concerning your use of HomecomingOS.
